Affiliate Program Terms & Conditions

1. Eligibility and Participation
   You agree to promote Fareportal’s travel-related services and affiliated brands (e.g., CheapOair, OneTravel, Cheapoair.ca) through lawful and ethical marketing methods, using only approved channels and materials in accordance with this Agreement and Fareportal’s brand and compliance policies.
2. Advertising Standards and Branding Compliance
   You agree to comply with Fareportal’s advertising policies, branding guidelines, and applicable laws and regulations, including advertising guidelines published by the Federal Trade Commission, and any policies communicated by Fareportal or through its designated affiliate platform.
3. Breach and Enforcement
   If you violate this Agreement or applicable policies, Fareportal may, in its sole discretion:
   1. Terminate your participation in the Affiliate Program immediately;
   2. Withhold any unpaid or pending commissions;
   3. Seek the return of any payments generated through conduct that violates this Agreement, and/or
   4. Seek any other remedies at law or in equity
   Additionally, you shall indemnify and hold Fareportal harmless from any claims or investigations arising from your violation of this Agreement.
4. Prohibited Conduct
   Fareportal reserves the right to determine, in its sole discretion, whether conduct violates the Agreement or Fareportal’s advertising standards. Examples of prohibited conduct, which may result in immediate suspension or termination from the program, include but are not limited to:
   1. Making unsubstantiated claims, including but not limited to, pricing, inventory, exclusivity, or unauthorized promotions (ex. UP TO 90% OFF ALL FLIGHTS)
   2. Promoting unauthorized discounts or expired/invalid coupon codes
   3. Failing to include material information (ex. Value, expiration date, restrictions, terms and conditions, and etc.) as communicated by Fareportal
   4. Practices that create a false sense of urgency or scarcity
   5. The use of strike through pricing
   6. Failing to clearly disclose that promotions include affiliate links or compensation
   7. Bidding on Fareportal brand terms in pay-per-click advertising or using them in unauthorized social media handles, posts, or domains
   8. Including affiliate links in paid media, browser extensions, or networks not pre-approved by Fareportal
   9. Scraping or duplicating Fareportal content, violating Fareportal’s intellectual property or impersonating Fareportal websites
   10. Use of unapproved advertising materials

5. Tracking and Referral Commission
   Fareportal or its designated platform will supply unique tracking links and promotional materials. You will earn commissions for completed, qualified transactions made by users who interact with such links, subject to program-specific terms and conditions, which may be changed by Fareportal at any time with or without notice.
6. Intellectual Property
   Fareportal shall retain all rights to its intellectual property, including but not limited to, trademarks, logos, creative assets, and other marketing materials provided by or belonging to Fareportal. You will receive a limited, non-transferable, revocable license to use such materials solely in connection with this Agreement and in compliance with Fareportal’s brand guidelines. Fareportal may revoke this license at any time and in its sole discretion.
7. Independent Contractor
   As a participant in this Affiliate Program, you are acting as an independent contractor. This Agreement does not create any partnership, joint venture, employment, agency, or fiduciary relationship. Affiliate Program participants have no authority to bind or represent Fareportal.
8. Termination
   Either party may terminate this Agreement at any time, for any reason upon providing written notice (email sufficient). Upon termination, Affiliate Program participants must immediately cease all use of Fareportal promotional materials and remove any links or content related to Fareportal and/or the Affiliate Program.
9. Limitation of Liability
   Fareportal shall not be liable for any indirect, incidental, consequential, punitive, or special damages relating to the Affiliate Program or this Agreement.
10. Governing Law
    All matters arising out of or relating to this Agreement are governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of New York. Any legal suit, action or proceeding arising out of or relating to this Agreement shall be instituted in the federal courts of the United States of America or the courts of the State of New York in each case located in the City of New York and County of New York, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding.
11. Entire Agreement
    This Agreement, together with any related program terms, policies, or supplemental instructions provided by Fareportal or its authorized platform, constitutes the full and final agreement between the parties regarding your participation in the Fareportal Affiliate Program.
